The terms and conditions as listed on our price sheet (the "Terms") of T&S Brass and Bronze Works, Inc. (T&S) supersedes all previous quotations and is subject to change without notice. All orders accepted subject to prices prevailing at time of shipment. Possession of this price list by any person or companydoes not obligate T&S to sell directly to that person or company. All orders are subject to acceptance by T&S and shall only become effective upon confirmation by T&S. T&S, in its sole and absolute discretion, may accept or reject any order, in whole or in part, for any reason whatsoever.
Prices/Terms of Payment
All payments are to be paid within 30 days of the billing date. A 2% discount will be provided for cash (or cash equivalent) payments received within 10 days of billing date (2%/10 Days/30 Days) subject to satisfactory credit arrangements. (No shipments will be made to accounts which are in arrears.) The 2% discount is not extended to any payments made by proforma/prepaid, C.O.D., credit cards or sight draft shipments.
All prices and delivery terms are Ex Works (Incoterms 2010) T&S’ facility in Travelers Rest, South Carolina. Purchaser assumes all responsibilities for risk of loss of, or damage to, the products upon delivery at the T&S facility. All transport will be pursuant to T&S’ freight terms unless alternative arrangements are made in writing with T&S.
All prices exclude transportation, freight, insurance or any sales, use, excise or other taxes, duties, fees or assessments imposed by any jurisdiction, all of which shall be paid by purchaser unless appropriate exemption certificates are provided.
Clerical and printing errors and omissions are subject to correction.
Minimum Charge
There is a minimum billing charge of $50.00 per invoice for both complete models and parts.Freight Allowance

- Full freight will be allowed on parts shipments having a net value of $1,500 or more.

- Parts:
- Full freight will be allowed on parts shipments having a net value of $5,000 or more.
Please contact T&S Brass as to any questions regarding distributor status. Our option of carriers. Above allowance applies to contiguous forty-eight states.
Deliveries
We are not responsible for delays in deliveries due to circumstances beyond our control such as fires, strikes, transportation delays, material shortages, accidents or other contingencies of similar nature. All products must be inspected upon receipt and claims filed by purchaser with the transportation companywhen there is evidence of shipping damage, either concealed or external. Any delivery scheduled for a residential address will receive an additional surcharge as per carrier rules.Returned Merchandise
No return goods will be accepted without permission from T&S. No item will be accepted for return twelve months after shipment from factory. Transportation on returned goods must be prepaid. All returned goods are subject to the greater of 25% of the purchase price or $20 as a handling and restockingcharge. Additional charge will be made for reconditioning and refinishing when necessary. Special fixtures and assemblies made to customers’ specifications are not returnable.Shortages
Any claims for shortage must be made immediately upon receipt of merchandise. Shortage claims will be invalid unless received by T&S in writing within 30 days of invoice date.Map Policy

If orders for items that are special (non-catalog) or covering special finishes are cancelled, T&S shall be reimbursed for any expense incurred in the purchase of raw or finished material and further processing thereof, plus 25% for handling and for any other loss or damage including anticipated profits which shall be adjusted.Product Changes
All items will be furnished as per catalog description unless otherwise indicated. However, we reserve the right to alter, modify, or redesign products without creating any liability for the obsolescence of customer inventories.Taxes
Any federal, state or city taxes applicable will be added to prices shown. Clerical and printing errors and omissions are subject to correction.Security Interest
T&S reserves a purchase money security interest in the products sold in the amount of the purchase price. These interests shall be satisfied by payment in full. A copy of these Terms may be filed, as authorized by the customer, as a financing statement with appropriate authorities to perfect T&S' security interest, or in the alternative, purchaser hereby agrees to execute the appropriate UCC forms upon request of T&S to perfect T&S' purchase money security interest.Credit Cards
Visa, MasterCard, American Express and Discover accepted. Card to be billed at time of shipment. No representative, dealer, distributor or any other person is authorized or permitted to obligate this corporation to any liability, not strictly in accordance with the above policies.California Residents / Proposition 65

If any term or provision of these Terms is determined by a court of competent jurisdiction to be illegal, invalid, or unenforceable, the legality, validity, or enforceability of the remainder of the Terms shall not thereby be affected, and these Terms shall be deemed amended to the extent necessary to delete such provision. These Terms shall be governed by the laws of the State of South Carolina without regard to conflicts of law principles thereof or to the United Nations Convention on the International Sale of Goodsand all causes of action arising under these Terms shall be brought exclusively in the state or federal courts in Greenville County, South Carolina. Purchaser agrees to pay T&S’ expenses for all of its costs of collection, including reasonable expenses incurred in connection with any arbitration or judicialproceeding, incurred with respect to any past due or default in payments.Acceptance of Terms
Purchaser shall be deemed to have accepted the provisions of these Terms, by manifesting such acceptance by any of the following:- Signing and returning to T&S a copy of these Terms
- Sending to T&S a written acknowledgement of these Terms
- Placing a purchase order or giving instructions to T&S respecting manufacture or delivery of products
- Accepting delivery of all or any part of the products
- Paying for all or any part of the products
- Indicating in some other manner purchaser’s acceptance of these Terms.
